Justika (Tika) is a Senior Partner of Foster, and leads the firm’s Energy and Natural Resources Practice Group. She has more than 15 years' professional experience working with global clientele from United States, Australia, Malaysia, Singapore and the United Kingdom like Marriot International, Heinz ABC, Vivo Energy, Orica Mining Services, Sakari Resources, Plus Expressways International Berhad as well as prominent domestic clients such as PT Dian Swastika Sentosa Tbk, PT Nusa Halmahera Minerals and PT Harum Energy Tbk in energy and mining projects and transactions.
She regularly leads teams advising global corporate clients in diverse corporate actions, public and private company acquisitions, strategic investments and divestiture, VC fundraisings, joint operation and procurement, corporate structuring and governance (including shareholders' and joint venture arrangements) in addition to a broad range of general corporate advisory, commercial and contractual matters, including a wide variety of financing transactions from plain vanilla financing, bilateral loans to acquisition finance and trade finance.
Tika's practice area and track record includes transactional, advisory and regulatory work in the manufacturing and retail, infrastructure, real estate, tourism and hospitality, logistics, digital business, fintech, crypto, and also energy, mining and natural resources sectors, with solid understanding of manpower, regulatory compliance and litigation/contentious matters.
Among her significant experience in numerous transactions in the mining industry, Tika successfully advised PT Caraka Reksa Optima on the acquisition of PT Petrosea Tbk, one of top-tier mining contractor companies in Indonesia from PT Indika Energy, Tbk.
Tika also advised PT Orica Mining Services on the joint operation of ammonium nitrate, explosives manufacturing and distribution and blasting services with PT Trifita Perkasa, and acted as deal counsel for PT Dian Swastatika Sentosa Tbk in connection with its divestment of majority stake of PT DSSP Energi Mas Utama in PT DSSP Power Mas Utama. In other notable corporate action and restructuring work, Tika advised Sakari Resources Limited on its internal corporate restructuring of Sebuku Coal Project.
Her representative experience in financing projects include advising Lembaga Pembiayaan Ekspor Indonesia (Indonesia Exim Bank) on the proposed financing to PT Pembiayaan Pariwisata Indonesia (Persero) in relation to the hotel construction and basic road infrastructure in Special Economic Area of Mandalika. Beyond conventional legal project, Tika is also well-versed in assisting startup companies in their fundraisings, such as Kopi Kenangan on Series A Funding by Alpha JWC Ventures and Sequoia Capital, and also Paxel Express on equity funding through the seeds preferred shares subscription by East Ventures Capital.
In the real estate sector and infrastructure project, Tika assisted US-headquartered Marriott International on the legal due diligence of the hotel owner and land where the hotels were to be built, which includes the legal review, negotiation and execution of various hotel management agreements. She also assisted London-based PT Vivo Energy Indonesia in the review, negotiation and execution of its service station lease agreement with land owners.
