Mutiara is an Associate in the firm's Corporate, Commercial and Investment Practice Group with her practice ranging from corporate acquisitions, joint ventures, financing and general corporate matters and a wealth of experience in various industries including mining, oil and gas, construction, infrastructure and financial services.
Mutiara advises on all aspects of acquisitions, joint operation, consortium arrangements, corporate governance, market entry and foreign direct investments, covering commercial and contractual matters related to EPC (Engineering, Procurement, Construction) and PPP (Public Private Partnership).
Among her notable mandates, she advised PT Rukun Raharja Tbk, an Indonesian publicly listed company operating in an integrated clean energy sector, on the acquisition of PT Krakatau Tirta Industri, and also PT Energasindo Heksa Karya, on the acquisition of PT Persada Agung Energi, where both transactions involved legal due diligence work, deal structuring and preparation of transaction documents. She was also involved as deal counsel for PT Raharja Energi Cepu Tbk, a prominent domestic upstream oil and gas investor, in the acquisition of 30% of shares in PT EMP Energi Aceh (a subsidiary of PT Energi Mega Persada Tbk that engages in the oil and gas exploration and production).
In the energy sector, she counseled PT Rukun Raharja Tbk on the drafting of consortium agreement for the development of 15.80 MMSCFD LNG infrastructure to generate 275 MW of four gas power plants in Babelponti, procured by PLN (Indonesia's State Electricity Company). She also acted for the same company in relation to the development of 2x25 MWp Solar PV projects, each located in Western and Eastern Bali (procured by PLN), including reviewing the Power Purchase Agreement, structuring the project finance and drafting the consortium agreements. In other notable energy-related matters, Mutiara represented PT Heksa Energi Mitraniaga during the negotiation of Temporary Supply Point LPG Agreement located in Rembang Port with PT Pertamina Patra Niaga. Her involvement in these deals demonstrated her ability to work on large scale projects within the energy sector.
