Prima is a Counsel of Foster, having worked for a leading Indonesian law firm that were then affiliated to DLA Piper and currently holds the position of Legal Director at a domestic private equity with portfolio investments in infrastructure projects across Indonesia, Singapore, Philippines and Europe. Prima's practice concentrates on foreign direct investment, corporate and commercial, mergers and acquisitions, divestitures, including corporate governance, restructuring and reorganization work. He regularly advises foreign investors on the end-to-end market entry and expansion strategies and execution into Indonesia, including the regulatory licensing, acquisitions and joint ventures related thereto.
Prima has negotiated and documented a multitude of joint venture agreements, conditional sale and purchase agreements in relation to share acquisitions and a diverse array of corporate and commercial contracts in the manufacturing, FMCG, media, advertising and aviation industries. Among his notable mandate as a corporate lawyer, Prima advised Turkish Airlines and Qatar Airways on legal, contractual and regulatory aspects of their ground handling operations at Soekarno-Hatta Airport (Jakarta) and I Gusti Ngurah Rai International Airport (Bali). Prima demonstrated his expertise in employment when he advised Booz Allen Hamilton, a global technology and consulting firm, on various manpower matters including employment contract formulation, foreign employees utilization, immigration and procurement of work permits for expatriate workers.
He also counseled Asian Paints Ltd, a Mumbai-based multinational paint and is India's largest paints company, and Diageo, a British multinational alcoholic beverage company, on their market entry into Indonesia, covering critical legal matters for the launch of their business such as investment structuring, company inception, regulatory licensing, and negotiation of commercial agreements with the warehousing providers, third-party service providers and suppliers. Recently, he counseled a domestic project developer on legal aspects of toll road and infrastructure development projects, including its internal restructuring and reorganization matters.
As a pragmatic attorney with a wealth of experience in foreign direct investment, corporate and commercial, M&A, licensing and manpower issues, Prima is known for his strong negotiation capability and willingness to put himself in the client's shoes in all aspects of the deal where he pinpointed the key areas of concern for the client to address the issues with the counterparty upfront.
