Andina Aprilia

Andina is a Partner of Foster and leads its Corporate, Commercial and Investment Practice Group. She specializes in corporate and commercial, mergers and acquisitions, foreign investments, debt and equity financings, corporate restructurings, and joint ventures.

Prior to joining Foster, Andina worked for a leading corporate law firm in Indonesia for 12 years and spent another 5 years at a prominent Japanese company and an Indonesian State-Owned Enterprise that both engage in finance business. During her total 17 years’ experience as a transactional lawyer, Andina has advised multinational private and public companies, foreign banks and investors on a full spectrum of M&A and financing transactions. Her expertise also covers regulatory compliance, restructurings and corporate governance in financial services, aviation, mining and energy industries.

Throughout her career, Andina has successfully acted as a lead counsel on behalf of the clients in numerous acquisition and financing deals. Several noteworthy deals include the shares acquisition of a multinational company that engages in FSRU project in Indonesia, and shares acquisition of a foreign investment company in the finance industry from MUFG Bank. She also managed the overall legal and transactional matters for acquisition of a domestic geosystems company by Leica Geosystems A.G, while also advised a large domestic energy enterprise and a China-based aviation company on the acquisitions of local companies for their business expansion.

In the corporate, aviation and project finance arena, Andina has advised on multi-loan facilities for both secured and unsecured financing for a variety of financing projects, including aircraft procurement (commercial aircraft, private jets, helicopters) and aircraft simulators, including financing of a coal-fired thermal power plant project, syndicated credit facilities for optical network development project (covering design, construction, leasing, commissioning, and rollout of services) and various bilateral and working capital loans.

She is well-versed in coordinating and supervising legal due diligence, investment and transaction structuring and also had an instrumental role in assisting a long list of established companies in drafting and reviewing transaction documents, sales and purchase agreements, loan/facility agreements and also security arrangements/documentation related to clients’ corporate actions, collaborating with various international law firms in the process, such as White & Case.

Andina also has in-depth industry knowledge and extensive transactional experience in financial services, manufacturing and industrial sectors including telco, aviation, energy, mining and natural resources industries. She has broad experience on legal advisory for the procurement of operational licenses and permits for domestic and international clients and investors to legally operate in those highly regulated industries. This work involves precise stakeholder mapping and analysis, along with a strong, comprehensive, and practical understanding of sectoral regulations in the industries where the clients operate.

The clients consistently leverage and benefit from Andina's demonstrated track record of advising on and navigating complex regulatory frameworks, adapting to evolving legal requirements, and managing rigorous licensing assessment processes for government approvals and permits. Several elite corporations that she has advised include, among others, China Development Bank, Industrial and Commercial Bank of China (ICBC), International Finance Corporation, Cathay United Bank, Lion Air, Chailease Holding Co. Ltd, Chevron Geothermal Indonesia Ltd, and AECOM Technology Corporation.
