Adellina is an Associate in the firm's Banking, Finance and Fintech Practice Group. She offers clients practical, pragmatic and commercially attuned advice on the full range of corporate finance and syndicated lending, corporate restructuring and spin-off, including acquisition and employment work in the financial services and coal mining sectors.
She previously worked at several prominent Indonesian corporate law firms, and a global consulting firm as Senior Associate, during which she was involved in a variety of cross-border transactions in the energy, mining, logistics, agriculture, financial services and infrastructure sectors, across project finance, project development and M&A.
Among her notable financing and energy-related work, Adellina advised an Indonesian coal mining company on US$400 million syndicated lending from a group of international lenders, and acted as legal advisor for a leading domestic energy company on US$545 million project financing for a power project in South Kalimantan. She has also counseled an Independent Power Producer consortium and sponsors on the development of a 70 MW wind power plant in Indonesia.
Adellina demonstrated her expertise in the entire process of high-value acquisition transactions by assisting local and multinational companies in their acquisition transactions. She assisted a local multi-finance company, two coal mining companies, and both Thailand-based and domestic sugar producers in their shares acquisitions by foreign investors. She also advised, and contributed to the legal due diligence and preparation of legal documentation for an Indonesian State-Owned Enterprise telecommunication company in relation to the corporate restructuring and spin-off of its data center business and assets across several subsidiaries.
Having in-depth understanding of the full cycle of foreign direct investment, Adellina regularly assists foreign investors in relation to their market entry and inbound investments to Indonesia that involved multifaceted compliance and licensing work. She counseled a US-based aerospace and defense company on the regulatory framework, compliance, corporate and shareholding structure including statutory licensing to operate in Indonesia, and assisted a France-based commodity broker of soft commodities on the requisite licenses for the export-import activities. She also acted as a legal advisor for Australian-owned healthcare provider and operator of hospital and clinic in establishing a joint venture with a regional government-owned enterprise for the construction and operation of the healthcare project in West Java.
