Aziizah is a Partner of Foster’s Banking, Finance and Fintech Practice Group. She has more than 15 years' experience working with global clientele from United States, Australia, Japan, Italy, Malaysia and Hong Kong and Singapore such as SpaceX, Newmont Australia, Japan Tobacco International, Neptune Energy Group, Joyson Safety Systems, OCBC Al-Amin Bank Berhad, Horizon Ventures and Princeton Digital Group to name a few, as well as prominent domestic clients namely PT Pertamina International Shipping in its Sharia-compliant financing transactions. Before joining Foster, Aziizah worked for one of the largest full-service law firms in Indonesia for 15 years where she was appointed as a Partner in the firm's banking and finance practice group.
Aziizah regularly leads teams advising global corporate clients in a wide variety of financing transactions from plain vanilla financing, bilateral loans to project finance, Sharia finance and syndicated credit facilities. Her extensive work as a seasoned transactional lawyer includes numerous cross-border corporate actions, public and private company acquisitions, strategic investments and divestiture, VC fundraisings, joint operation and procurement, corporate restructuring and governance (including shareholders' and joint venture arrangements) in addition to a broad range of general corporate advisory, commercial and contractual matters.
Aziizah's practice area and track record includes transactional, advisory and regulatory work in highly regulated industries such as mining, oil and gas, telco, plantation, shipping, manufacturing, pharmaceutical, tourism, general trading, data center and financial services, with solid understanding of manpower regulations, anti-bribery, corruption and AML compliance, environmental compliance and mining licensing.
Her representative experience in financing projects include advising an offshore bank and its Indonesian subsidiary in relation to financing transactions of (i) up to US$110,000,000; and (ii) each in the amount of US$20,000,000 to PT Pelayaran Kartikasamudera Adijaya, involving a loan facility and various security agreements, including the hypothec over vessel. She also advised PT Princeton Digital Group Data Centre on a US$140,000,000 financing transaction, the proceeds of which were then used to fund a combination of fit–outs, improvements, capital expenditures and greenfield construction of certain data centres located in Indonesia.
In Sharia finance arena, Aziizah counseled PT Pertamina International Shipping in respect of sharia-compliant loan instrument (an Ijarah Muntahiyah Bittamlik) in the amount of $47,000,000 from PT Bank Syariah Indonesia, and acted as a deal counsel for OCBC Al–Amin Bank Berhad in the extension of Islamic financing facility of up to US$10 million to PT Maju Kalimantan Hadapan.
Among her significant investment and mergers and acquisitions work, Aziizah successfully advised:
1. Elon Musk's SpaceX on its market entry and expansion into Indonesia by successfully establishing PT Starlink Services Indonesia, covering legal advisory for the overall compliance and licensing matters in the process;
2. Rosneft Oil Company on its significant joint venture (JVCo) with PT Pertamina (Persero) valued at US$13.8 billion for the construction of a state–of–the–art gas refinery and petrochemical complex;
3. Japan Tobacco International on the acquisition of an Indonesian clove cigarette manufacturer and its main distributor with a total transaction value of approximately US$1 billion; and
4. a U.S.-based specialty chemicals distributor on the merger of its Indonesian subsidiaries where she was in charge of procuring the regulatory approval and preparing the end-to-end merger legal documentation.
Aziizah has also teamed up with leading international law firms in various transnational acquisition transactions. Among several noteable deals, she collaborated with Skadden, Arps, Slate, Meagher & Flom LLP in advising Joyson Safety Systems on the acquisition of Takata Corporation’s global assets, including its Indonesian subsidiary. Aziizah also supported a US-based global law firm in advising Neptune Energy Group on the acquisition of three of Engie E&P SA’s Indonesian oil and gas assets, as part of the Group’s acquisition of a majority stake in Engie’s US$3.9 billion global oil and gas business.
Beyond conventional legal project, Aziizah is also well-versed in assisting venture capital companies on the structuring and deployment of their investments through early and mid-stage startup fundraisings. She acted as a deal counsel for Horizon Ventures Ltd on its participation in Series A funding for Bobobox, and also counseled Singtel Innov8 Pte. Ltd. on its participation in Series B funding for Halodoc, where she contributed throughout the legal due diligence, transaction documents review and regulatory compliance process.
