Dinda is an Associate in the firm’s Energy, Shipping and Natural Resources Practice Group. Prior to working at Foster Legal, Dinda was a legal counsel at PT Adaro Andalan Indonesia Tbk, under Adaro Group, one of the largest thermal coal producers in Indonesia, where she was responsible for managing legal affairs related to the company's mergers and acquisitions, business expansion, financing transactions, joint ventures, project development and construction matters, regulatory compliance and licensing, corporate governance and its day-to-day operation, including its carbon trading and ESG initiatives as well as forestry and land-related domains.
Dinda brings a deal-oriented, multidisciplinary approach to advising clients across the full project lifecycle—from initial development and structuring through to financing, execution, acquisitions and restructurings. She has a particular interest in the mining, energy (traditional and renewable), real estate, construction, infrastructure and sustainability sectors. At Foster Legal, her practice centers on M&A, joint ventures and strategic alliances, divestitures, asset disposals, project financing and development, corporate governance, energy transition and carbon trading matters.
Dinda has significant experience drafting and negotiating agreements in the mining and metal industries for asset acquisitions and disposals, operations, maintenance, construction, and logistics, including coal supply agreements, professional services agreements, offtake contracts and carbon trading projects, among various contracts, ensuring contractual alignment with evolving regulations. Her expertise includes stakeholder engagement and government affairs advisory related to land rehabilitation and reclamation that involves multifaceted forestry and land-related compliance requirements.
Dinda's experience includes advising Adaro Logistics on the asset takeover of a fuel tank terminal in Kelanis, Central Kalimantan, from PT Lintas Samudera Borneo Lines, and advising Adaro Group on the planning, initiation and development of carbon trading projects for five forestry companies under Adaro Group, having successfully assisted the company in obtaining the Greenhouse Gas Emission Reduction Certificates. She also counseled PT Agri Multi Lestari on the development of biomass project to facilitate the utilization of wood-chips for co-firing in a coal-fired power plant.
In other strategic corporate matters, Dinda assisted PT Adaro Andalan Indonesia Tbk in its Initial Public Offering as a part of Adaro Group's strategy to separate the renewable and non-renewable business lines within the group's integrated ecosystem of business pillars, and also advised a subsidiary of Adaro Group in its equity investment in PT Kusuma Putra Alam, the main developer of Hotel Nusantara situated in Nusantara, the new capital of Indonesia in East Kalimantan.
Her experience in regulatory compliance in the mining sector includes managing post-operation obligations of Adaro Group's subsidiaries that hold multiple mining business licenses, encompassing the mandatory land rehabilitation and reclamation and liaising with the Ministry of Environment in the process. At Foster Legal, she regularly assists Chinese banks in relation to project finance of various photovoltaic power plants in Indonesia that involve Chinese companies as borrowers, including advising Chinese companies on acquisition transactions and joint ventures for market entry and inorganic business expansion purposes.
Clients acknowledge Dinda for her strong technical knowledge of the mining regulations and carbon trading matters with a good commercial sense.
