Gaby is an Associate in the firm's Banking, Finance and Fintech Practice Group. She works as a transactional lawyer in the areas of fintech and financial services-related mergers and acquisitions, joint ventures and strategic alliances as well as corporate governance, regulatory compliance and licensing. Gaby also has a particular focus on legal, transactional and regulatory aspects of corporate actions in the capital market sector which involved multiple extensive legal due diligence within tight deadlines and rigorous processes under the supervision of Indonesia's Financial Services Authority.
Gaby provides a wide range of regulatory advisory and business counsel to clients in the banking, fintech, multifinance, real estates, logistics, technology, consumer markets and manufacturing industries, with particular expertise in capital market transactions related to initial public offerings, right issues and bond issuances. Her transactional practice often includes share and asset acquisitions and disposals in emerging industries such as payment services and peer-to-peer lending, including conventional businesses ranging from logistics, transportation, mining, to real estate and property.
She advises a broad spectrum of stakeholders, including multinational corporations, underwriters, foreign banks, global fintech companies and prominent domestic companies with respect to legal documentation, legal due diligence and legal developments relevant to their businesses and projects. Her experience assisting both domestic private and public companies and international clients across an extensive range of corporate and commercial transactions in highly regulated industries gives her a nuanced understanding of the legal and commercial priorities on various facets of capital market transactions, joint venture arrangements and broader M&A deals.
During her tenure at a prominent boutique corporate law firm in Indonesia, Gaby assisted PT Trifita Perkasa Mining Services in its Joint Venture Agreement with Orica, one of the world’s leading mining and civil blasting companies, for the establishment of a detonator and explosive manufacturing facility in Muara Badak, East Kalimantan. She also counseled TIS Inc in the acquisition of PT Anabatic Technologies Tbk through conversion of convertible bonds that involved strict compliance requirements under the Financial Services Authority. Gaby also contributed to a plenty of license procurement processes for foreign direct investment set up, company formation, including legal due diligence mandates and various corporate restructurings and preparatory work for IPOs.
At Foster, Gaby is assigned to advise the firm's foreign clients from Korea, China and Australia on transactional, regulatory compliance and corporate governance matters in relation to their market entry and business expansion to Indonesia's peer-to-peer lending, digital payment, multifinance and banking industries, among other key sectors. She also contributes to general corporate and commercial work to support Foster's start-up and retainer clients in their day-to-day operation, partnerships, product development and launching, including data privacy, investment and manpower matters.
