Gustaf is an Associate in the firm's Corporate, Commercial and Investment Practice Group. He is particularly experienced in working with buyers, sellers, investors and founders on transactions involving innovation and technology in industries that have a significant regulatory component such as financial services, fintech, payment services, healthcare, e-commerce and shipping, which encompasses share and asset purchases, joint venture agreements and shareholder arrangements in these sectors.
Gustaf has been involved in many facets of corporate transactions, including investments in innovation through digital lending and payment services startups, M&A arising from market entry of new entrants and statutory consolidation, transactions involving innovative risk-transfer mechanisms, investments and divestitures due to regulatory changes. He also advises companies, particularly in the fintech sector, on regulatory feasibility and legal risks of their business models and structures, as well as on their day to day corporate and commercial matters.
Among his several notable engagements and transactional experience, Gustaf advised a Malaysian digital lending company in the acquisition of an Indonesian sharia peer-to-peer lending company where he was involved in the full-cycle of the transaction, from legal due diligence, preparation and negotiation of transaction documents, to procurement of acquisition approval from the Financial Services Authority. His profound knowledge of peer-to-peer lending regulations was further demonstrated when he acted as transaction counsel for Navi Digital Limited in its acquisition of PT Inovasi Terdepan Nusantara or known as 360 Kredi.
In the e-commerce industry and crypto asset trading space, Gustaf counseled a global e-commerce company, on the establishment of its financing subsidiary in Indonesia, which includes the relevant regulatory compliance and licensing work, and advised Fasset, a Dubai-based crypto exchange on regulatory considerations, compliance and licensing in connection with the launch of its Indonesian subsidiary to engage in crypto asset trading business. He also assisted Sinbad, a domestic tech supply chain platfotm, in its Series D equity fundraising sourced from several venture capital firms such as Mandiri Capital Indonesia, Metro Digital Investama, and Central Capital Ventura, which involved cross-border elements under Indonesian and Singapore laws, and close coordination with a Singapore local counsel.
With his wide-ranging experience and commercial acumen when it comes to business models, legal risks and regulatory framework in emerging industries such as fintech, digital lending, e-commerce and crypto asset trading, Gustaf guides Foster's clients in these sectors for their market entry into Indonesia, strategic corporate transactions and venture capital-related matters, including other key aspect such as stakeholder engagement, mapping and analysis. He is analytical, conscientious and has the ability to focus on the big picture and consider other regulations and policies that may impact the clients while taking care of the details necessary to execute the deals.
